The freelance contract clauses that prevent the usual fight

Updated 2026-09-24 · a working page, not a sales page

Most freelance disputes are not about bad faith. They are about a scope that was never written down, a revision count nobody agreed, and work that was never formally accepted.

Short answer

Scope and revisions

The single most common cause of unpaid extra work is a deliverable described as a noun without a boundary. Write the deliverable, the format, and the number of revision rounds in one line. A change beyond that is a change order, which is why the next clause matters.

Change order

A contract without a change-order mechanism turns every small request into a negotiation. The clause does not have to be complicated: requests outside the agreed scope are quoted and approved in writing before work starts.

Intellectual property

State which rights transfer and on what event. 'Full ownership transfers on receipt of final payment' is short, standard and protects both sides. Leaving it out means the client assumes transfer and you assume retention, and you find out which is which during a dispute.

Confidentiality, termination and late payment

Governing law and the boring line that matters

Name the jurisdiction and the currency. If the client is in another country, name which body's law applies. Disputes are far cheaper to settle when the answer was written down before anyone was upset.

Questions

Do I need a contract for small projects?

For anything involving deliverables, yes. A one-page short-form agreement is enough, and it is the version people actually sign.

Is a template contract legally binding?

In most places a clear written agreement is enforceable, but the applicable rules differ by country. A template is a starting point, not legal advice for your situation.

Who owns work in progress if the project ends early?

Whatever the termination clause says. If it says nothing, you will negotiate it while unpaid, which is the worst time to negotiate.
